These Terms and Conditions govern your access to and use of www.gclcorp.com, including its pages, forms, scheduling tools, chat features, communications, and related online services, collectively referred to as the "Website."

The Website is operated by GoClarifi, doing business as GCL Corp. In these Terms, "GCL Corp," "GoClarifi," "we," "us," and "our" refer to GoClarifi.

By accessing the Website, submitting information, scheduling a call, communicating with us, or using any Website feature, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

1. Website Purpose

GCL Corp provides information about estimating workflows, preconstruction processes, construction technology, operational improvement, systems alignment, workflow strategy, and related consulting services.

The Website is intended to help general contractors, chief estimators, preconstruction leaders, construction technology leaders, operations professionals, and other qualified business users understand GCL Corp and request a conversation.

Website content is provided for general informational and business-development purposes. Accessing the Website or submitting an inquiry does not create a consultant-client, contractor-client, fiduciary, employment, partnership, joint-venture, or other professional relationship.

A formal engagement with GCL Corp exists only after the appropriate parties enter into a separate written agreement.

2. No Professional or Project-Specific Advice

Information on the Website does not constitute legal, accounting, tax, architectural, engineering, safety, estimating, financial, insurance, construction-management, or other licensed professional advice.

Website content should not be relied upon as:

• A construction estimate, bid, scope, schedule, or project plan;
• A representation that a particular software, workflow, or process will be appropriate for a specific organization;
• A substitute for review by qualified legal, financial, engineering, architectural, safety, estimating, or construction professionals;
• A guarantee of cost savings, margin protection, project outcomes, implementation results, bid success, software performance, or operational improvement.

Business and project decisions should be based on verified information, applicable contracts, project documents, professional judgment, and advice from appropriately qualified professionals.

3. Eligibility and Authority

You must be at least 18 years old to use the Website.

When submitting information on behalf of a company or other organization, you represent that you are authorized to provide that information and communicate with GCL Corp on the organization's behalf.

You may not submit confidential, proprietary, controlled, legally privileged, export-restricted, security-sensitive, or third-party information unless you are authorized to disclose it.

Do not use general Website forms or chat features to transmit social security numbers, financial account numbers, payment-card information, health information, passwords, access credentials, confidential bid documents, controlled technical data, or other highly sensitive information.

Information submitted through forms, calendars, email, telephone, SMS, or chat may include your:

You grant GCL Corp permission to use the information you submit to respond to your inquiry, evaluate potential fit, schedule or conduct meetings, provide requested communications, maintain business records, and perform the other activities described in our Privacy Policy.

Submission of information does not require GCL Corp to accept an engagement, provide a proposal, enter into a contract, or provide services.

5. Intellectual Property

Unless otherwise stated, the Website and its content—including text, branding, graphics, layouts, processes, frameworks, design elements, videos, downloads, and other materials—are owned by or licensed to GCL Corp and are protected by intellectual-property laws.

You may view and use Website content for your own legitimate internal business evaluation.

"GCL Corp," "GoClarifi," associated logos, service names, and related branding may be trademarks or protected trade names of their respective owners.

• Violate any law, regulation, court order, contractual obligation, or third-party right;
• Submit fraudulent, deceptive, defamatory, threatening, discriminatory, or unlawful material;
• Impersonate another person or misrepresent your affiliation with a company;
• Introduce malware, malicious code, automated attacks, or harmful technology;
• Interfere with the security, availability, or operation of the Website;
• Attempt to obtain unauthorized access to accounts, systems, databases, or communications;
• Collect information about other Website users;

GCL Corp does not control and is not responsible for the separate content, availability, security, accessibility, terms, or privacy practices of third-party services.

Your use of a third-party service may be governed by that provider's terms and policies.

A link to a third-party website does not necessarily constitute an endorsement, warranty, partnership, or recommendation.

8. Appointment and Discovery-Call Requests

Submitting a scheduling form or selecting an available calendar time constitutes a request for a meeting. It does not guarantee that a meeting has been accepted or that GCL Corp will provide services.

Appointments may be confirmed, modified, rescheduled, or canceled when reasonably necessary. You are responsible for providing accurate contact information and reviewing confirmation or rescheduling messages.

A discovery call is intended to support an initial business conversation. It is not a project audit, binding recommendation, construction estimate, implementation commitment, or guarantee that GCL Corp will be a suitable provider.

9. SMS and MMS Messaging Terms

Program Name

The messaging program is operated under the name GCL Corp Communications.

Program Description

Depending on the consent you provide, GCL Corp may send:

Non-marketing messages, such as:

• Responses to an inquiry;
• Strategy-call or discovery-call confirmations;
• Appointment reminders;
• Rescheduling or cancellation notices;
• Requested follow-up;
• Service-related communications;
• Customer-care responses.

Marketing messages, only when you provide separate marketing consent, such as:

• Educational resources;
• Company news;
• Event or webinar invitations;
• Service announcements;
• Promotional offers;
• Marketing follow-up.

Consent to non-marketing messages does not automatically constitute consent to marketing messages.

Voluntary Consent

SMS consent is voluntary. Consent to receive text messages is not a condition of purchasing services, accessing the Website, submitting an inquiry, or scheduling a meeting.

Where separate consent options are presented, you may agree to one category, both categories, or neither category.

Opting Out

Delivery

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to carrier availability, device compatibility, network conditions, and other circumstances outside GCL Corp's control.

GCL Corp does not guarantee that every message will be received.

Supported Carriers

The messaging program may be supported by major United States wireless carriers. Carrier participation and support may change without notice.

Privacy

Information collected through the messaging program is handled according to our Privacy Policy, available at:

Mobile information, SMS opt-in data, and messaging consent will not be sold or shared with third parties or affiliates for their marketing or promotional purposes.

10. Email Communications

When you provide an email address, GCL Corp may use it to:

• Respond to your inquiry;
• Send requested information;
• Confirm or manage an appointment;
• Communicate about a current or potential business relationship;
• Provide service-related notices;
• Send marketing communications where permitted by law.

Marketing emails will provide a method for unsubscribing. You may also request removal from marketing email by contacting bradley@goclarifi.com.

An unsubscribe request applies to marketing communications. GCL Corp may still send non-promotional communications reasonably necessary to respond to a request, manage an appointment, administer an existing relationship, comply with law, or protect the Website and its users.

11. Electronic Communications

By communicating electronically with GCL Corp, you consent to receive responsive communications electronically.

Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by applicable law.

You are responsible for maintaining accurate contact information and safeguarding access to your email account, telephone, and devices.

12. Privacy

Your use of the Website is also governed by the GCL Corp Privacy Policy.

The Privacy Policy explains how information is collected, used, disclosed, retained, and protected.

If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy will control for that issue.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available."

GCL Corp disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.

GCL Corp does not warrant that:

• The Website will be uninterrupted, error-free, or free from harmful components;
• Website information will always be complete, current, or suitable for your circumstances;
• A submitted inquiry will result in a meeting, proposal, engagement, or business outcome;
• Any workflow, technology, process, or recommendation described on the Website will produce a particular result.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law, GCL Corp and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or related to:

• Inability to access or use of the Website;
• Reliance on Website content;
• Third-party services or links;
• Unauthorized access to information;
• Lost data, revenue, profit, opportunity, goodwill, or business interruption.

To the fullest extent permitted by law, GCL Corp's total liability arising from Website use will not exceed the greater of one hundred dollars or the amount you paid directly to GCL Corp specifically for Website access during the six months before the event giving rise to the claim.

This limitation does not apply where prohibited by law or to liability that cannot legally be limited.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GCL Corp and its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your misuse of the Website;
• Your violation of these Terms;
• Information or material you submit;
• Your violation of law or third-party rights;
• Your unauthorized disclosure of confidential or proprietary information.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal proceeding relating to the Website or these Terms must be brought in the state or federal courts located in Harris County, Texas, and each party consents to the jurisdiction of those courts.

Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct communication.

17. Changes to the Website or Terms

We may modify the Website or these Terms when reasonably necessary to reflect changes in services, technology, business practices, legal requirements, or messaging programs.

The updated version will be posted with a revised "Last Updated" date. Your continued use of the Website after an update constitutes acceptance of the revised Terms.

Material changes may be communicated through the Website or another appropriate method where required.

18. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Failure to enforce a provision is not a waiver of the right to enforce it later.

19. Entire Agreement

These Terms and the Privacy Policy constitute the agreement governing general use of the Website.

A separate signed services agreement, statement of work, proposal, nondisclosure agreement, or other written contract may contain additional or different terms governing a business engagement. If there is a conflict, the separately signed agreement will govern the applicable engagement.
